OFFICIAL RULES

• NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT  IMPROVE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED. MUST BE 18 YEARS OR OLDER. 
• SPONSOR: The sponsor of the Sweepstakes is Northern New England Passenger Rail Authority  (NNEPRA) Amtrak Downeaster, 75 West Commercial St, Suite #104, Portland, ME 04101. 
• SWEEPSTAKES PERIOD: The Sweepstakes begins on March 21, 2025 at 2:00 p.m. Eastern Time  (“EST”) and ends on March 26, 2025 at 11:59 p.m. ET (the “End Date”). Entries submitted outside of this  period will not be considered. 
• ELIGIBILITY: The Full Court Express Sweepstakes (the “Sweepstakes”) is open only to legal  residents of the U.S., who, at the time of entry are (a) eighteen (18) years of age or older, and (b)  residents of Maine, New Hampshire, and Massachusetts who live within a fifty (50) mile radius of  Portland, Maine. Employees, including their family (parents, children, siblings, spouse) and members of their household (whether or not related), of the following entities are not eligible to enter this  Sweepstakes: (1) Sponsor, (2) Celtics Development, LLC, doing business as the Maine Celtics (the “Maine  Celtics”), Banner Seventeen, LLC, doing business as the Boston Celtics (the “Boston Celtics”), the  National Basketball Association and its Member Teams (“NBA”), the NBA Development League, doing  business as the NBA G League (“NBA G League,” and together with the NBA, Boston Celtics, and Maine  Celtics, the “NBA Entities”), and each of their respective subsidiaries, affiliates, parent companies,  distributors, divisions, agencies or of any related entity, including any consultants to Sponsor. All federal,  state and local laws and regulations apply. Participation in the Sweepstakes constitutes entrant's full and  unconditional agreement to these Official Rules and Sponsor's decisions, which are final and binding in  all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set  forth in these Official Rules.

• PRIZE: A total of one (1) prize winner (the “Winner”) will receive: (a) two (2) tickets to the  Boston Celtics home game at scheduled to be played on Sunday, April 6, 2025 (the “Game”) (approximate retail value (“ARV”) $400), (b) two (2) round trip tickets for Winner and one (1) guest  traveling together, on the same reservation and itinerary, for travel between any two stations serviced  by the Amtrak Downeaster (ARV $114), and (c) one swag bag containing Amtrak Downeaster-branded  merchandise, including (i) one (1) lunch bag, (ii) one (1) mug, (iii) one (1) notebook, and (iv) one (1)  baseball cap, with the specific lunch bag, mug, notebook, and cap to be determined by the Sponsor in its  sole discretion (ARV $30). The total ARV of the prize is $544.00. Transportation voucher will expire on  4/6/2026, and if the voucher is not used, it will be forfeited. Winner does not need to redeem  transportation voucher for travel on day of Celtics game. Winner is responsible for booking  transportation on their own by following instructions included on voucher unless sponsor notifies  winner of alternative booking options. Winner will also be sent a branded swag pack. WINNER IS  RESPONSIBLE FOR REPORTING AND PAYING ANY AND ALL INCOME, SALES OR EXCISE TAXES THAT MAY  APPLY TO ACCEPTING A PRIZE; SPONSOR IS NOT RESPONSIBLE FOR AND WILL NOT PAY ANY SUCH  TAXES. The Winner is responsible for all expenses not specifically mentioned herein. If the Winner is  unable to unwilling to travel on the day of the Game, the prize will be forfeited. The Winner and guest  must comply with all Amtrak Downeaster, regulations and local government laws, rules and requirements, which may include, without limitation, wearing masks, and proof of vaccination status.  The Winner understands that there are inherent risks involved in travel and that these risks may be  present before, during and after the Game. Sponsor and the NBA Entities are not responsible for  changes in schedule of any element of the Prizes, including event dates, or any expenses incurred as a  consequence of train cancellation or delay. Any unclaimed and/or unused prize elements will remain the  property of the Sponsor and/or NBA Entities. Sponsor and the NBA Entities are not responsible for, and  the Winner will not receive, any difference between the actual value and the ARV of the prizes. The  prizes offered and awarded are not redeemable for cash. The Sponsor reserves the right to substitute  any listed prize, or component thereof, for one of equal or greater value if the designated prize becomes  unavailable for any reason.  Attendance at any Boston Celtics home game is subject to the general ticket rules and regulations  established from time to time by Delaware North Companies, Inc. – Boston (“DNC-B”), the owner of the  TD Garden, and by the Boston Celtics (the “Ticket Rules”), including any health and safety protocols  applicable to such activities (e.g., requirements relating to COVID-19 vaccination status or use of face  coverings), as determined by DNC-B and the Boston Celtics in their sole discretion. In the event of a  violation of the Ticket Rules, DNC-B and/or the Boston Celtics shall have the right to eject the violators  from TD Garden. If a Winner or a Winner’s guest is ejected from the TD Garden, they shall not have any  rights to other prizes or compensation. The Sponsor and the NBA Entities will not be responsible for  awarding any un-awarded portion of a prize to a Winner if a Winner undertakes activities or  communicates messages or images or engages in speech publicly or made known publicly that: (a) are  sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional  or age group; (b) are obscene or offensive, or may create public disrepute, contempt, scandal or ridicule;  (c) defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe  upon any third party’s or prize provider’s personal or intellectual property rights or contain disparaging  remarks about other people or companies; (d) are inconsistent with the positive images and/or goodwill  to which the Sponsors wish to associate, as determined by the Sponsors, in their sole and absolute  discretion; and/or (e) otherwise violate the terms of any of the agreements that each Winner has agreed  to comply with as an entrant of this Sweepstakes.

• ODDS: The odds of winning depend upon the number of eligible entries received during the  Sweepstakes period. 
• HOW TO ENTER: There is one (1) method of entry for the Sweepstakes. Completely fill out and  submit the Sweepstakes entry form electronically on the official Amtrak Downeaster giveaway entry  form at https://url.us.m.mimecastprotect.com/s/UICCpY9mYiQ5xgzIPfpUGTkD6?domain=amtrakdowneaster.com/. Limit one (1) entry per person. Entry  must be received before the End Date. Sponsor is the official timekeeper for the Sweepstakes. All entry  information and materials become the property of Sponsor and will not be acknowledged or returned.  Except as otherwise contemplated in these Official Rules, and to the extent entrants may otherwise  elect at the time of entry, personal information collected in connection with the Sweepstakes will be  used in accordance with the online privacy policy available at https://policies.google.com/privacy. Any  attempt by any entrant to obtain more than one entry by using multiple/different email addresses,  identities, registrations and logins, or any other methods will void such entries and that entrant may be  disqualified. Use of any automated or computer system to participate is prohibited and will result in  disqualification. Normal Internet access and usage charges imposed by your online service may apply. If entering via mobile device, normal phone/data and usage charges imposed by your phone service may  apply. Incomplete, corrupted, or untimely entries are void and will be disqualified. Sponsor and its  agencies are not responsible for lost, late, incomplete, damaged, stolen or misdirected entries; lost,  interrupted, or unavailable network, server, or other connections; or miscommunications, computer or  software malfunctions, telephone transmission problems, technical failures, garbled transmissions,  damage to a user's computer equipment (software or hardware), or other errors or malfunctions of any  kind, whether human, mechanical, electronic or otherwise. Proof of submission will not be deemed to  be proof of receipt by Sponsor. In the event of a dispute as to the identity of an entrant, the authorized  account holder of the email address associated with the entry used to enter will be deemed to be the  entrant or participant. The "authorized account holder" is the natural person assigned an email address  by an Internet access provider, online service provider, Internet service provider, or other organization  (which may include an employer) responsible for assigning email addresses for the domain associated  with the submitted address. The potential winner may be required to show proof of being the  authorized account holder. Entries specifying an invalid, non-working, or inactive email address will be  disqualified and ineligible to win.

• WINNER SELECTION: The winner will be determined by random selection conducted by the  Sponsor among all eligible entries on or around March 25, 2025. All results of the selections are final and  binding, subject to these Official Rules. In the event a winning entry is discovered to be invalid for any  reason whatsoever or the person who submitted the winning entry fails to comply with these Official  Rules prior to delivery of the prize, the prize may be forfeited and awarded to an alternate winner selected among the remaining eligible entries. If by reason of a printing, computer or other error, more  prizes are claimed than the number set forth in these Official Rules, all persons making purportedly valid  claims will be included in a computerized random selection to award the advertised number of prizes  available. No more than the advertised number of prizes will be awarded. 
• NOTICE TO WINNER: Attempts to notify potential winners will be made using the email address  provided at entry. Sponsor is not responsible for other communication problems of any kind. Sponsor  will email you directly from the official NNEPRA email address. Sponsor is not responsible for any  fraudulent activity, scams, or spam attempts that may try to deceive you into believing you have won. If,  despite reasonable efforts, a potential winner does not respond within forty-eight (48) hours of the first  notification attempt (or such shorter time as exigencies may require), or if the prize or prize notification  is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his  or her prize and an alternate winner may be selected. Winner must provide necessary details requested  by sponsor for ticket transfer at this time. 
• PRIZE FULFILLMENT: The giveaway winner will have their Transportation voucher and swag pack  mailed to the address they provide to the Sponsor after being selected as the winner. The Boston Celtics  game tickets will be transferred to the Winner’s provided email address, subject to additional terms and  conditions provided to the Winner via the ticket transfer. The NBA Entities and the Sponsor and its subsidiaries, affiliates, parent companies, distributors, divisions, agencies or of any related entity,  including any consultants to Sponsor, are not responsible for technical issues preventing ticket transfer.

• SOCIAL NETWORK DISCLAIMER: This promotion is in no way sponsored, administered, or  associated with Google, Facebook, or Instagram, Inc. By entering, entrants confirm that they release Google, Facebook, or Instagram, Inc. of responsibility and agree to Google, Facebook, or Instagram,  Inc.’s terms of use.

• LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES: Sponsor and the NBA Entities (together,  the “Released Parties”) are not responsible for telecommunications, network, electronic, technical  or computer failures of any kind, including any which may affect your entry or the Sweepstakes. The  Released Parties are not responsible for lost, stolen, misdirected, mutilated, late or illegible entries.  Entries not in compliance with these Official Rules are disqualified. Sponsor shall have the absolute  right to determine if an entry is in compliance with these Official Rules without notice to the person  attempting to enter.  
• CONDITIONS: By entering the Sweepstakes, each participant warrants that they have read and  agrees to abide by these Official Rules and that they are not prohibited from participating in the  Sweepstakes. Each participant agrees to defend, release, discharge, indemnify and hold harmless  the Released Parties and each of their parents, subsidiaries, affiliates, shareholders, employees,  officers, directors, agents, representatives, advertising and promotion agencies and prize suppliers  from and against any and all liability, with respect to, arising out of or related to: (i) the entrant’s  participation in the Sweepstakes, including, without limitation, personal injury, death, property  damage, or claims based on publicity rights, defamation, or invasion of privacy, (ii) the delivery,  misdelivery, acceptance, possession, use of, misuse of, or inability to use any prize (including any  type of manner of costs or damages), whether under a theory of contract, tor (including negligence),  warranty, or any other theory; and (iii) travel to or from any Sweepstakes-related activity. All issues  and questions concerning the construction, validity, interpretation and enforceability of these  Official Rules or the rights and obligations of entrants and the Sponsors in connection with the  Sweepstakes will be governed by and construed in accordance with the internal laws of the State of  Massachusetts, without giving effect to any choice of law or conflict of law rules or provisions that  would cause the application of any other state’s laws. The forum and venue for any dispute shall be  in Massachusetts. By entering the Sweepstakes, participants consent to the use of their name,  likeness, image and biographical data for advertising and promotional purposes without additional  compensation, except where prohibited by law. BECAUSE SPONSOR COLLECTS PERSONAL  INFORMATION FROM PARTICIPANTS ENTERING THE SWEEPSTAKES, SPONSOR WILL TREAT  INFORMATION IN ACCORDANCE WITH THE PRIVACY POLICY ACCESSIBLE AT  https://policies.google.com/privacy. Sponsor reserves the right to suspend or cancel the  Sweepstakes or modify these Official Rules as necessary for any reason or as required by applicable  law. Sponsor reserves the right, at its sole discretion, to disqualify any entrant from the  Sweepstakes, and ban from any future promotions, any person it believes to have intentionally  violated these Official Rules or tampered with any element of the Sweepstakes without notice to the  disqualified or banned person. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY  WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF  CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT  TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. No  cash or prize substitution is permitted. The prize is non-transferable. 

• MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules or any  additional, required documentation will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or required documentation is  determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in  effect and will be construed in accordance with their terms as if the invalid or illegal provision were  not contained therein. The Sponsors’ and NBA Entities’ failure to enforce any term of these Official  Rules will not constitute a waiver of that or any other provision. Each entrant agrees to waive any  rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference  and will not be deemed to affect in any manner the meaning or intent of the documents or any  provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other  statements contained in any Sweepstakes-related materials, privacy policy, or terms of use on the  entry website and/or the terms and conditions of the Official Rules, the Official Rules will prevail,  govern, and control, and the discrepancy will be resolved in the Sponsors’ sole and absolute  discretion.
